General Terms & Conditions
Any order, even one recorded by our agents or representatives, is only binding once expressly accepted in writing by us. Cancellation is not possible unless previously agreed in writing. Any deposit paid will not be refunded in such case.
Goods/services are delivered within the contractual timeframe. Goods remain the property of Motron NV until full payment of principal, costs and interest. However, the risk of loss or damage passes to the buyer at the moment of sale.
The buyer must ensure that goods/services can be delivered and installed by Motron NV at the agreed place and time, including ensuring access to the delivery location. Failure to do so results in the buyer being liable for all resulting costs, including waiting time, storage and preservation costs.
The buyer must inspect the goods/services immediately upon delivery. Any defects must be reported by registered letter within seven calendar days. After this period, Motron NV is only liable for hidden defects that render the goods unfit for their intended use, provided the goods have not been processed and Motron NV knew or should have known the defect. Hidden defects must be reported by registered letter within seven days of discovery with a detailed description. Such claims do not suspend the buyer’s payment obligation.
Except as stated above, Motron NV is not liable for any damages arising directly or indirectly from delivered goods/services, except in cases of gross negligence or intent. Liability is limited to the invoice value. Motron NV is not liable for indirect damages including loss of income, contracts, capital costs or loss of profit, either for the buyer or third parties. Motron NV is not liable for acts of employees or agents, even in cases of gross negligence or intent.
Unless agreed otherwise in writing, invoices are payable immediately. In case of non-payment, interest of 12% per year and a fixed 10% penalty (minimum EUR 500) shall apply. Non-payment renders all open invoices immediately due and entitles Motron NV to suspend deliveries or terminate the contract.
If the buyer fails to fulfil contractual obligations, Motron NV may, after a notice period of eight working days, suspend its obligations or terminate the contract without court intervention.
Belgian law applies. Any disputes shall be brought exclusively before the courts of Antwerp.
